Terms of Service

1 Eligibility

You must be at least 13 years of age (or the minimum age required by law in your country) to use Kickmate. By using the platform you represent that you meet this age requirement. If you are under 18, you confirm that you have obtained parental or guardian consent. We reserve the right to terminate accounts that we believe are held by users who do not meet these requirements.

2 Your Account

• You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
• You must provide accurate and complete information when registering. You may not impersonate another person or create a misleading account.
• You may not share your account credentials with others or allow another person to use your account.
• Notify us immediately at support@kickmate.ng if you suspect unauthorised access to your account.
• You may delete your account at any time via Profile → Settings → Delete Account. Deletion is permanent and will remove your data subject to our Privacy Policy retention obligations.

3 Acceptable Use

You agree to use Kickmate only for lawful purposes and in accordance with these Terms. You must not:

• Post content that is defamatory, offensive, harassing, threatening, or discriminatory on the basis of race, gender, religion, nationality, disability, sexual orientation, or age.
• Cheat, manipulate, or falsify match results, scores, or standings.
• Create fake accounts, bots, or automated scripts to abuse platform features.
• Interfere with or disrupt the integrity or performance of the platform or its underlying infrastructure.
• Attempt to gain unauthorised access to other users' accounts or to our backend systems.
• Use the platform to distribute spam, malware, or any other malicious content.
• Scrape, crawl, or otherwise systematically extract data from the platform without our prior written consent.
• Engage in any activity that violates applicable local, national, or international law.

We reserve the right to remove content that violates these rules and to suspend or permanently ban accounts.

4 Teams, Leagues and Challenges

• Team captains are responsible for managing their team, approving join requests, submitting accurate match results, and ensuring their players behave in accordance with these Terms.
• League administrators are responsible for setting fair rules, managing fixtures, and resolving disputes within their leagues. Kickmate is a platform tool and is not a party to disputes between teams or players.
• Challenges are agreements between participating parties. Kickmate facilitates scheduling and visibility but is not responsible for the outcome, conduct, or fulfilment of any challenge.
• You acknowledge that sports participation carries inherent physical risk. Kickmate is not liable for any injury, loss, or damage arising from participation in any activity organised through the platform.

5 Payments and Fees

• League fees and collection payments are collected on behalf of team captains or league administrators. Kickmate may charge a platform service fee on each transaction, which will be disclosed at the point of payment.
• Competition registration fees are charged when you register for competitions that require a fee.
• All payments are processed by end2endPay. By making a payment you agree to end2endPay's terms and conditions.
• Refunds — fees are generally non-refundable. If a competition or event is cancelled by the organiser, the organiser is responsible for issuing refunds. Contact the relevant team captain, league administrator, or Kickmate support for disputes.
• You are responsible for any taxes applicable to your payments under local law.

6 User Content

"User Content" means any text, images, data or other content you post, upload, or transmit through Kickmate (including team names, announcements, challenge terms, and match results).

• You retain ownership of your User Content. By submitting it, you grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and distribute it solely for the purpose of operating and improving the platform.
• You represent that you have the right to post your User Content and that it does not infringe any third party's rights.
• We may remove User Content that violates these Terms or that we determine is inappropriate, without notice.

7 Intellectual Property

The Kickmate name, logo, platform design, software, and all other platform content (excluding User Content) are the intellectual property of Intelli Serve Ltd and are protected by applicable copyright, trademark and other laws. You may not copy, modify, distribute, sell, or lease any part of our platform or its code without our prior written permission.

8 Third-Party Services

Kickmate integrates with third-party services such as end2endPay for payments, Supabase for data storage, and push notification providers. Your use of those services is subject to their respective terms and policies. We are not responsible for any acts or omissions of third-party service providers.

9 Disclaimers

The platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

• The platform will be uninterrupted, error-free, or secure.
• Match results, standings, or statistics displayed are 100% accurate (users are responsible for submitting correct data).
• Any defects or errors will be corrected.

10 Limitation of Liability

To the fullest extent permitted by applicable law, Intelli Serve Ltd and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the platform, including but not limited to:

• Loss of data or personal information.
• Physical injury or property damage arising from sports activities organised through the platform.
• Disputes between users, teams, or leagues.
• Unauthorised access to or use of our servers and any personal information stored therein.

Our total liability to you for any claim arising out of or relating to these Terms or the platform shall not exceed the amount you have paid to Intelli Serve Ltd in the twelve (12) months preceding the claim, or ₦10,000 (ten thousand naira), whichever is greater.

11 Indemnification

You agree to indemnify, defend, and hold harmless Intelli Serve Ltd and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of a third party.

12 Termination

• We may suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, us, or third parties, or for any other reason.
• You may stop using the platform and delete your account at any time.
• Upon termination, your right to use the platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 7, 9, 10, 11 and 13) shall survive.

13 Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms or the platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration under the rules of the Lagos Court of Arbitration (or such other agreed arbitration body). Judgment on any arbitration award may be entered in any court of competent jurisdiction.

14 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-app notice at least 14 days before the changes take effect. Continued use of the platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the platform and delete your account.
